These Terms of Service ("Terms") govern your use of our website www.thehealthwell302.com (the "Site") and any services offered by The Health Well 302, including online bookings and information about our spa collective located in Milford, DE (collectively, the "Services"). By accessing or using our Site or Services, you agree to be bound by these Terms. Please read them carefully.

Acceptance of Terms

By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use our Site or Services.

Definitions

"Client" or "you" refers to the user accessing or using the Site or Services.

"The Health Well 302," "we," "us," or "our" refers to The Health Well 302, a spa collective located in Milford, DE."Services" include our website, online booking system, newsletter subscriptions, SMS and email reminders, and any information or services provided by The Health Well 302."Practitioners" refers to the independent health and wellness professionals who operate within The Health Well 302 collective.

Use of the Site and Services

You may use our Site and Services for lawful purposes only. You agree not to: Use the Site or Services in any way that violates any applicable federal, state, local, or international law or regulation. Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site or Services. Transmit any viruses, worms, or other malicious code. Attempt to gain unauthorized access to any portion of the Site or Services, or any systems or networks connected to the Site or Services. Use the Site to collect personal information of other users without their consent.   Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity. 

Online Booking

Our Site may allow you to book appointments for services offered by Practitioners at The Health Well 302. By making a booking through our Site, you agree to the specific terms and conditions applicable to that booking, including the Practitioner providing the service, the date and time of the appointment, and the fees associated with the service. You will be required to agree to these Terms by clicking a button or checking a box before completing your booking. This action constitutes your explicit agreement to be bound by these Terms. 

Cancellation and No-Show Policy

We require at least 24 hours' notice for any cancellation or rescheduling of appointments. Cancellations made with less than 24 hours' notice will be subject to a fee equal to 50% of the scheduled service price. Clients who fail to show up for their scheduled appointment without any prior notice will be charged the full price of the service. 

Intellectual Property

The Site and its original content, features, and functionality (including but not limited to all text, graphics, logos, images, and software) are owned by The Health Well 302 and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as generally and ordinarily permitted through the Site according to these Terms. The Health Well 302 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of The Health Well 302 or its affiliates or licensors. You must not use such marks without our prior written permission. 

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE HEALTH WELL 302 DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE HEALTH WELL 302, NOR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR MAXIMUM LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, TO THE HEALTH WELL 302 FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Termination

We may terminate or suspend your access to all or any part of the Site or Services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may simply discontinue using the Site and Services. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
